These Terms of Use (“Terms”) govern your access to musiclfg.com (the “Site”) and the MusicLFG private beta (the “Beta”). By using the Site or joining the Beta, you agree to these Terms. If you don’t agree, don’t use the Site.
1. About MusicLFG
MusicLFG is operated by [Legal entity name, state of formation] (“MusicLFG,” “we,” “us”). We are building a platform where music fans can earn streaming ad revenue residuals through Music Royalty Tokens (MRTs).
2. Eligibility
You must be at least 18 years old. If your jurisdiction restricts access to crypto, blockchain, or tokenization services, do not use the Site or Beta.
3. Private Beta on Avalanche Testnet
Read this section carefully.
The Beta runs entirely on the Avalanche Fuji testnet. By accessing or participating in the Beta you acknowledge and agree:
- No real value. Testnet tokens have no monetary value and are not securities, currency, or any other financial instrument.
- Public blockchain. Any wallet address, transaction, content, or data you submit through the Beta is recorded on a public, third-party blockchain.
- Permanent and irreversible. Blockchain entries cannot be deleted, edited, or reversed by us or by anyone else.
- Don’t submit anything sensitive. Do not connect a wallet that holds real assets, do not submit real personal information, payment details, or anything you want to keep private.
- Experimental. The Beta may break, may be reset, may lose data, may expose data publicly, and may be discontinued at any time without notice.
- At your own risk. We are not responsible for any loss, exposure, theft, or consequence arising from information, wallet activity, or content you submit to the testnet or anywhere else in the Beta.
4. Not an Offer of Securities; Not Financial Advice
Nothing on the Site or in the Beta is an offer to sell securities, a solicitation of an offer to buy securities, investment advice, financial advice, or tax advice. Music Royalty Tokens described on the Site are not currently offered or sold. Any future offering of securities will be made only through formal channels in compliance with applicable law and only to eligible investors.
5. Acceptable Use
You agree not to:
- Violate any law or regulation
- Attempt to attack, probe, scrape, or interfere with the Site or Beta
- Misrepresent your identity or eligibility
- Infringe anyone’s intellectual property or other rights
- Use the Site or Beta to harm or defraud others
We may suspend or terminate your access at any time, with or without notice or reason.
6. Intellectual Property
The MusicLFG name, logo, branding, Site content, and software are owned by us or our licensors. You may not copy, modify, or use them without our written permission. If you submit content (feedback, ideas, beta input), you grant us a worldwide, royalty-free, non-exclusive license to use it to operate and improve our products.
7. Disclaimers
The Site and Beta are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site or Beta will be uninterrupted, error-free, secure, or accurate.
8. Limitation of Liability
To the maximum extent permitted by law, MusicLFG and its officers, employees, and affiliates are not liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or any loss of data, revenue, profits, goodwill, or testnet activity. Our total aggregate liability for any claim related to the Site or Beta is limited to USD $100.
9. Indemnification
You agree to indemnify and hold MusicLFG harmless from any claim, loss, or expense (including reasonable attorneys’ fees) arising from your use of the Site or Beta, your violation of these Terms, or your violation of any third party’s rights.
10. Governing Law and Disputes
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in Boulder County, Colorado, and you consent to personal jurisdiction there.
11. Changes
We may update these Terms. If we do, we’ll update the date above. Continued use of the Site or Beta after changes means you accept them.
